Terms and Conditions for submission of an Unsolicited Proposal

I am sending Unilever Ventures Limited (the 'Company') a document containing my proposed idea or business plan and fully understand that the Company has not solicited this proposal. I understand that the term 'Unsolicited Proposal' as used in this document includes my idea, as well as all related information and materials submitted to the Company by me.

I realise that the Company receives many ideas which are not new, ideas that have been developed and considered before and ideas which duplicate or are similar to those in the process of development by the Company. I recognise that the Company does not want to be hampered in using ideas because the Unsolicited Proposal I submit may include one of them. I understand that the Company wishes to avoid controversy over my Unsolicited Proposal. As a result of these considerations, I present my Unsolicited Proposal under the following conditions:

a. I represent that I (we) have the right to disclose the Unsolicited Proposal to the Company and the right to enter this Agreement, and that I (we), as the present owner(s) hold all proprietary rights in and to the Unsolicited Proposal and that no one else has any interest in the Unsolicited Proposal except as specifically noted in this agreement or in your submission document.

b. I agree that the Unsolicited Proposal is gratuitous and voluntarily submitted, and that it creates no confidential relationship with the Company, and that it creates no obligation on the part of the Company to adopt it. I fully understand that the ideas and material submitted will not be treated as confidential or proprietary and that no compensation is to be paid to me, whether or not the Company uses this idea or a similar one, unless the Company has agreed to compensate me in a written agreement signed by an officer of the Company.

c. I agree that whether the Company reviews my Unsolicited Proposal or not and whether the Company decides that it has any interest in my Unsolicited Proposal or not are decisions to be made solely by the Company and that I have no right to challenge such decisions.

d. I agree that the Company has no obligation to report its interest or lack of interest or the reason for any such interest or lack of interest to me. I also agree that the Company has no obligation to disclose any information concerning its activities in the area of my Unsolicited Proposal.

e. I agree that the Company’s statements with respect to the following shall be conclusively binding upon me, and that I will make no claim against the Company at any time relating in any way to this Unsolicited Proposal unless my claim is based on the agreements of patent rights described above.

1. the originality or lack of originality of the Unsolicited Proposal; or

2. the value or lack of value to the Company

f. This written agreement is the only agreement between the Company and me. This agreement may not be altered by my oral statements or the oral statements of any of the Company’s employees and it shall be binding upon and enure to the benefit of the parties hereto and to their successors and assigns. The parties agree that this agreement shall be governed by the laws of England and that the English courts shall have exclusive jurisdiction over any disputes arising under it.
